Affiliate Agreement

This Affiliate Agreement (“Agreement”) is between Vylara Labs LLC, a company registered in St. Kitts and Nevis (“Vylara Labs”, “we”, “us”), and the individual or entity who accepts it at registration (“Affiliate”, “you”). By completing the affiliate registration form on vylaralabs.com, you agree to be bound by this Agreement.

1. The Program

Vylara Labs operates an invite-only affiliate program through which approved Affiliates refer customers to vylaralabs.com and earn commission on qualifying purchases made by those customers. Participation is a privilege, not a right, and is subject to ongoing compliance with this Agreement.

2. Approval & Eligibility

Submission of a registration form does not guarantee approval. Vylara Labs reviews all applications manually and approves Affiliates at its sole discretion. You must be at least 18 years of age to participate. You confirm that your primary audience is also 18 years of age or older.

3. Affiliate Tools

Upon approval, you will receive a unique tracking link and a personal coupon code. These are for your exclusive use. You must not share, sell, or transfer your affiliate credentials to any third party. Vylara Labs reserves the right to change or deactivate your link or code at any time.

4. Commission Structure

You earn a commission as a percentage of the order subtotal (after any customer discount, before tax and shipping) on qualifying purchases attributed to your tracking link or coupon code. Your commission rate is determined by your current Rank:

• Bronze — 12% (default rank on registration)
• Silver — 15% (CA$500–CA$1,499 referred revenue in the prior calendar month)
• Gold — 18% (CA$1,500–CA$3,999 referred revenue in the prior calendar month)
• Platinum — 20% (CA$4,000–CA$9,999 referred revenue in the prior calendar month)
• Clinical Partner — individually negotiated (CA$10,000+ referred revenue; by separate agreement)

Ranks are reviewed and assigned manually on the first day of each calendar month based on the prior month’s referred revenue. Vylara Labs reserves the right to adjust commission rates or rank thresholds with 30 days’ written notice.

5. Lifetime Commissions

For customers who make their first purchase using your coupon code or tracking link, you will earn commission at 50% of your current rank rate on that customer’s subsequent purchases for 12 months from their first referred order, even if they do not use your code on repeat visits. After 12 months, lifetime attribution expires unless the customer uses your code again.

6. Customer Discount

Your coupon code provides customers with a 10% discount off the order subtotal. This discount is applied at checkout and is subject to a minimum order value of CA$50. The code is for single use per customer and cannot be combined with other promotions.

7. Attribution

Attribution is last-click. If a customer uses multiple affiliate codes or links before purchasing, the last one used before checkout is credited. Tracking cookies persist for 90 days. You may not earn commission on your own purchases (self-referrals are blocked).

8. Payments

Commissions are paid monthly on the 15th of each month for the prior calendar month’s confirmed earnings. A 30-day hold period applies to all commissions to allow for refund processing — commissions on orders placed in January are confirmed on February 28 and paid on March 15. Minimum payout threshold is CA$50; balances below this roll to the following month. Available payment methods are E-Transfer (Canada), PayPal, and store credit. Commissions are reversed on refunded orders within the hold period.

9. Content Rules

All content you create or publish in connection with the Vylara Labs affiliate program must comply with the Vylara Labs Affiliate Disclosure Guidelines, which form part of this Agreement. In summary:

• You may share personal experience and observations about products in a research context.
• You must disclose your affiliate relationship clearly in every post, video, podcast episode, or other content where your code or link appears.
• You must not make therapeutic claims (that any product treats, prevents, cures, or diagnoses any condition).
• You must not recommend specific dosages or protocols to your audience.
• You must not run paid social media advertising (Meta, TikTok, Google, or similar) pointing to Vylara Labs products or pages.
• You must not distribute your code on coupon aggregator websites, deal forums, or group chats not related to your personal audience.

Violation of content rules may result in immediate suspension or termination of your affiliate account.

10. Monitoring

Vylara Labs monitors affiliate content periodically. First violation: written warning and takedown request. Second violation within 90 days: account suspended for 30 days. Third violation: permanent termination, with earned commissions paid out and future commissions forfeited.

11. Termination

Either party may terminate this Agreement at any time with written notice to affiliates@vylaralabs.com. Upon termination, your tracking link and coupon code will be deactivated. Earned commissions that have passed the 30-day hold period will be paid out on the next scheduled payment date. Commissions still within the hold period at the time of termination are forfeited if termination is for cause (content rule violation, fraud, or breach of this Agreement).

12. Fraud & Abuse

Any attempt to generate fraudulent commissions — including self-referrals, fake orders, incentivised clicks, or manipulation of tracking — will result in immediate termination and forfeiture of all pending commissions. Vylara Labs reserves the right to pursue recovery of commissions already paid on fraudulent transactions.

13. Relationship of Parties

You are an independent contractor, not an employee, agent, or partner of Vylara Labs. You are responsible for your own taxes on commissions earned. Vylara Labs does not provide tax advice and will not withhold taxes on your behalf unless required by applicable law.

14. Intellectual Property

Vylara Labs grants you a limited, non-exclusive, revocable licence to use the Vylara Labs name, logo, and approved product imagery solely for the purpose of promoting the affiliate program in accordance with this Agreement and any brand guidelines provided. You may not modify the logo or imagery. This licence terminates immediately upon termination of this Agreement.

15. Limitation of Liability

Vylara Labs is not liable for any indirect, incidental, or consequential damages arising from your participation in the affiliate program, including loss of earnings, loss of data, or reputational harm. Our total liability to you under this Agreement is limited to commissions earned and unpaid at the time of the claim.

16. Modifications

Vylara Labs may update this Agreement at any time. Material changes will be communicated by email to your registered address with 30 days’ notice. Continued participation after the notice period constitutes acceptance of the updated terms.

17. Governing Law

This Agreement is governed by the laws of the Federation of St. Kitts and Nevis. Any disputes arising under this Agreement will be subject to the exclusive jurisdiction of the courts of St. Kitts and Nevis.
